I open the dds file first in PHOTOSHOP CS4 (FULL) and then I edit it, but if I wan't to save I get an empty dds file.
But I'm not sure if I choise the right option of all.

Just dont use dds files ...?
dds may be small (with the right settings set) but other than that its not losless.
Save it as a PNG, if no Transparency is needed make it a 8bit to make it bit smaller.
Open the Model/Elu in a Hexeditor and change the Material/Texture name.
Example:
gz_hum_glove011.tga -> superawesomething.png
It doesnt matter if its shorter or longer than the original name.
Gunz will get the Texture, only Phantoms Import Script is messy coded so it will bitch around about not finding the texture.
